Compliance Program Enhancement & Corporate Governance Framework
Our organization is undergoing a comprehensive transformation of its compliance architecture, positioning ourselves at the forefront of the best international practices in the shipping sector. This initiative goes well beyond a routine regulatory update; it represents a strategic commitment to institutional integrity, long-term risk resilience, and governance excellence.
Strategic Alignment with International Standards
We are systematically realigning our compliance program with the latest global frameworks governing maritime trade and bunkering operations, including IMO guidelines, FATF recommendations on anti-money laundering (AML) and counter-financing of terrorism (CFT), and the evolving standards set by leading correspondent banking institutions. Our objective is to achieve a regulated-grade readiness standard the same level of rigor expected of licensed financial institutions; thereby signaling to counterparties, regulators, and banking partners that our compliance posture is not merely adequate, but exemplary.
This transformation is being carried out in partnership with UCheck (F2D Solutions), a specialized consulting firm with deep expertise in maritime compliance, AML frameworks, and due diligence infrastructure. Their involvement ensures that our program reflects current regulatory expectations and is built to adapt as those expectations evolve.
Robust KYC and Enhanced Due Diligence
At the core of our compliance program is a rigorous Know Your Customer (KYC) process that has been redesigned from the ground up. For every counterparty, whether a shipowner, charterer, bunker supplier, or trading intermediary; we conduct comprehensive Enhanced Due Diligence (EDD) assessments. These reports systematically profile each entity and trace ownership structures to identify the Ultimate Beneficial Owner (UBO), ensuring full transparency of control and eliminating exposure to sanctioned parties, shell structures, or politically exposed persons (PEPs).
All EDD reports are reviewed and endorsed by our external advisors, providing an independent validation layer that strengthens both the quality and defensibility of our decisions. This independent endorsement is critical from a corporate governance standpoint: it demonstrates that our due diligence process is not self-serving but is subject to objective external scrutiny.
Corporate Governance Enhancements
Our compliance upgrade is grounded in a broader corporate governance strengthening initiative. Specific enhancements include:
- Board-Level Oversight: Compliance reporting has been elevated to the board agenda. Senior leadership receives periodic governance reports covering risk exposure, EDD findings, and program performance metrics, ensuring accountability at the highest level of the organization.
- Three Lines of Defense Model: We have adopted the internationally recognized three lines of defense structure, operational controls, compliance oversight, and independent internal audit, to create clear accountability, avoid conflicts of interest, and ensure continuous monitoring of our risk posture.
- Compliance Committee: A dedicated internal Compliance Committee, supported by external advisors, meets regularly to review onboarding decisions, assess escalated cases, and update policies in response to new regulatory developments.
- Documented Policies and Procedures: All compliance processes are governed by formally documented policies, including an AML/CFT Policy, a Sanctions Screening Policy, a UBO Identification Procedure, and a Risk Appetite Statement, all reviewed and approved at the senior management level.
- Risk-Based Approach: Counterparties are tiered according to a structured risk classification framework (low, medium, high) that determines the intensity of due diligence applied. High-risk relationships require escalation, additional documentation, and senior approval before onboarding.
- Ongoing Monitoring: KYC is not a one-time exercise. We have implemented periodic review cycles for all active counterparties, with triggers for ad hoc re-screening upon material changes in ownership, jurisdiction, or business activity.
Commercial and Reputational Benefits
The impact of this program has already been felt in tangible ways. By demonstrating a credible, institutionally sound compliance infrastructure, we have mitigated both financial and commercial risk, protecting the organization from inadvertent exposure to fraudulent counterparties, sanctioned entities, or transactions that could attract regulatory scrutiny.
Equally significant has been the commercial upside: our enhanced compliance posture has opened doors to new, high-quality banking relationships. Correspondent banks and trade finance institutions increasingly require their clients in the shipping and commodities space to meet near-regulatory standards of KYC and AML compliance. Our program directly addresses this expectation, enabling us to access a broader range of financial services and to position ourselves as a preferred partner for institutions that prioritize integrity over transactional convenience.
Looking Ahead
This is an evolving program. We are committed to continuous improvement, benchmarking our framework against international developments, and responding proactively to emerging regulatory trends in maritime compliance, digital asset-related risks, and environmental, social, and governance (ESG) considerations as they intersect with trade finance and bunkering.
Our investment in compliance is, fundamentally, an investment in the sustainability and reputation of our business and a demonstration to all stakeholders that we operate with transparency, accountability, and the highest standards of commercial integrity.
